This ensures an efficient and legal incorporation of a Limited Company in Spain, backed by full legal documentation and the necessary licenses to operate.
Coordination with the notary's office:
To incorporate a freight transportation company in Spain with several partners, coordination with the Notary Office is required to sign the articles of incorporation, including documents such as bylaws, negative certification of the name, bank certification of the deposit of the share capital, and identification documents. The deed of incorporation must also be filed with the Mercantile Registry, with a cost of €100.
Tax, Digital and Licensing procedures:
You must register in the Tax on Economic Activities (IAE) with the Tax Agency, detailing the business activity. Digital Certificates are obtained for legal entities and individuals. - Understand and comply with current transport regulations to ensure the safety and legality of operations. In addition, there are specific aids at the regional or national level for the renewal of fleets with environmentally-friendly vehicles.
- The tax regime could be the general regime, but smaller companies could choose the simplified regime or modules.
What taxes do Freight Transport Companies have to declare?
- Corportate Tax: This tax must be filed annually, recording and calculating income and expenses to determine the taxable base. This is crucial for applying deductions and exemptions for investments in efficient vehicles. It is used Form 200, and the deadline is July 25 of the year following the fiscal year.
- Value Added Tax (VAT): The transport of goods is subject to different VAT rates, which may vary according to the type of transport (national or international), its structure, and its turnover. The Form 303 (quaterly) or Form 390 (annual). The deadline for 303 is April 20, July, October, and January. For the 390, it is January 30. Awareness of applicable VAT exemptions, such as those relating to the transportation of goods outside the European Union, is essential to avoid invoicing errors.
- Tax on Economic Activities (IAE): The corresponding headings in the IAE (IAE) could be the Heading 722 (Transportation of goods by road) and the Heading 721.3 (Road passenger transportation).
