Then, the Bylaws are drafted, detailing key aspects such as the share capital. You must open a bank account for the deposit of the share capital and to obtain the Bank Certificate.

Financial Aspects and Limited Liability:
The Share Capital is defined, not only to support the limited liability of the company, but also to guarantee financial sufficiency to cover the initial operations, including the Licenses of Public Transport of Goods. This ensures an efficient and legal incorporation of a Limited Company in Spain, backed by full legal documentation and the necessary licenses to operate.

Coordination with the notary's office:
To incorporate a freight transportation company in Spain with several partners, coordination with the Notary Office is required to sign the articles of incorporation, including documents such as bylaws, negative certification of the name, bank certification of the deposit of the share capital, and identification documents. The deed of incorporation must also be filed with the Mercantile Registry, with a cost of €100.

Tax, Digital and Licensing procedures:
You must register in the Tax on Economic Activities (IAE) with the Tax Agency, detailing the business activity. Digital Certificates are obtained for legal entities and individuals. You must obtain the Necessary Licenses and Authorizations, to obtain the Public Freight Transportation License, evaluated according to financial capacity and minimum fleet requirements.

Included services:

  • Incorporation of a Limited Company (SL), must provide a share capital of 3,000 euros.
  • Obtaining the Certificate of Company Name in the Central Mercantile Registry.
  • Coordination for obtaining the Bank Certificate of deposit of the share capital.
  • Preparation and revision of the Bylaws of the Limited Company.
  • Coordination with the notary’s office for the preparation of the deed of incorporation (notary fees are NOT included in our fees. They may vary depending on the city)
  • IAT declaration to the Tax Agency (AEAT).
  • Registration of the deed of incorporation in the Commercial Registry (registration fee NOT included – 100 € + VAT).
  • Procedures for obtaining the Digital Certificate of Legal Person.

 

Services not included: Notary fees, registration in the Mercantile Registry. Apostilles and/or sworn translations are not included if necessary.
