What is the process to set it up?
The process of creating an non-profit organization (or “Asociación”) in Spain involves several essential steps:
- Initial Planning: Define the objectives of the association, as well as the leadership structure, its corporate name, the number of members (minimum 3, either natural person or legal entity with legal representative in Spain) and their key roles.
- Meeting for the drafting of the Bylaws and approval of the Founding Charter: This will establish the rules that will guide the operation of the association as well as the composition of the governing body. What other documentation is necessary?
- Determine in which Register the registration will be made: Depending on the range of activity of the organization, it can be in the autonomic registry or in the national Registry.
- Response deadline: The Registry is obliged to respond within three months; in the absence of a response, the application for registration will be considered to have been approved.
- Additional steps: On completion of its establishment, further steps may be taken depending on the planned activities. This could include applying for a NIF with the Tax Agency, obtaining a digital certificate for your association, opening a bank account or enrolling in specific registries.
Requirements and Documentation
- Founding Charter: Record of the meeting at which the bylaws are approved and the board of directors is elected.
- Bylaws: Contain essential information such as the name, territorial scope, purposes and activities, requirements for admission and cancellation of members, administration and accounting system, among others.
- 2 Copies of the Founding Charter and Bylaws (all sheets must be signed by all promoters).
- Application for registration in the corresponding Registro de Asociaciones, completed and signed.
- Identification of Promoters: First and last names (in the case of individuals) or the company name (in the case of legal entities), together with their address, nationality and NIF number.
- The payment of the fees corresponding to the Registry where the registration will be made.

Yes, both Spanish and foreign citizens can form and/or create a non-profit organization in Spain.

A non-profit organization in Spain must comply with the following requirements:
- Obtaining the NIF at the Tax Agency (Agencia Tributaria).
- Declaration of Economic Activities (IAE): It is mandatory if the association carries out economic activities. They must register with the IAE and pay the corresponding fee.
- Value Added Tax (VAT): If they carry out activities subject to VAT (most of them are exempt from this tax), they must register and file periodic declarations.
- Corporate Income Tax: They may be subject to this tax if they obtain economic benefits.
- Annual Accounts: Obliged to keep accounting records and file annual accounts with the Registro de Asociaciones.
- Labor and Social Security obligations: If they have employees, they must comply with labor and Social Security regulations.
