What is the process for setting up a limited company in Spain?
The process of acquiring an established limited company also known as sociedad limitada in Spanish is considerably simpler than starting one from scratch.
In addition, it is important to note that there are companies on the market specialised in this activity, dedicated to the purchase and sale of pre-incorporated or inactive companies.
- Company search and selection: Identify a limited company that suits your needs and consider its business activity, financial history and organisational structure.
- Company assessment: A thorough review of the company must be carried out and financial statements, debts, assets, contracts and regulatory compliance must be analysed.
- Price and Negotiation: You will need to determine a fair price for the acquisition. On the other hand, you should negotiate the terms and conditions with the seller.
- Purchase and Sale Agreement: You will need to draw up a detailed purchase and sale agreement. You must also specify the price, delivery time and payment terms.
- Due Legal Process: Finally, you must formalise the purchase by notarial deed and register the transfer of shares or holdings with the Companies Register.
Requirements and necessary documentation for the purchase of limited companies
- Contract of Sale: A detailed contract of sale specifying the terms and conditions of the transaction, including the purchase price, method of payment, delivery dates and other important details.
- Due Diligence: The reports and documents generated during the due diligence process, which may include financial statements, accounting reports, audits, asset and liability records, contracts, employment agreements, and any other relevant documents that support the assessment of the company.
- Notarial deed of sale: A notarised public deed formalising the transfer of the limited company's holdings or shares. This deed must be executed before a notary public in Spain.
- CIF of the limited company: The Tax Identification Code (CIF) of the limited company, which is the company's tax identification number in Spain.
- Identification Documentation: Valid identification documents of all parties involved in the transaction, such as a passport or identification card.
- Powers of Attorney: If any of the parties involved delegate a legal representative to act on their behalf, powers of attorney granting such authority are required.
- Certificate of Sale and Purchase: A certificate of sale and purchase attesting to the transaction and the identity of the parties involved. This document may be required for registration in the Commercial Register.
- Limited Company Deed: Copy of the limited company's memorandum of association, including information on its structure and articles of association.
- Solvency Report: Some sellers may require a solvency report from the buyer to ensure that the buyer has the financial capacity to complete the purchase.
- Registration Certificates: The certificates of registration of the limited company in the Commercial Register and other relevant registers. These documents must be up to date and reflect the current legal status of the company.
- Authorising Documents: If necessary, documents authorising the transaction, such as limited partnership partner agreements or regulatory approvals.
